Section 1. Persons Eligible for Membership

Those eligible for membership of The Pine Bend Association shall include:

a.

All persons who were members of the Pine Bend Scout Club including members of the unincorporated Pine Bend Association on the date of its incorporation, and

b.

Former Scouts, or those interested in promoting Scouting, or those active in similar youth organizations and who have an interest in maintaining a primitive camping facility and other outdoor activities for such organizations as well as for themselves, and

  1. who have attained the age of twenty-one (21) years, and
  2. whose written applications is endorsed by three members of the Association who have personal knowledge of the applicant, and
  3. whose application is approved by the Board of Directors.

c.

Surviving Spouses of members in good standing.

d.

Young Adults between the ages of 17 and 21 including Scouts, former Scouts, and those active in similar youth organizations who have promoted and/or demonstrated an interest in maintaining a primitive camping facility and other outdoor activities for such organizations as well as for themselves, and

  1. whose membership has been proposed to the Board of Directors by a member in good standing who is willing to serve as the young adults sponsor;
  2. whose membership has been approved by the Board of Directors;
  3. who have been invited to join this corporation; and
  4. who have accepted the invitation to join this corporation.

Any member seeking to sponsor a Young Adult for membership must obtain approval from the Board of Directors before inviting Young Adult to join or completing their application for membership.

Gate-keeper member. At the discretion of the Board, the primary resident of the property immediately south of the West Gate entrance to Birch Bend campground may be provided with a "Gate-Keeper" membership. This membership includes all the rights, privileges and responsibilities of membership, with the exception that s/he may not vote and shall be exempt from membership dues.

In addition, those persons meeting the requirements in Section 1a, 1b, or 1c must pay the fees and dues as hereinafter provided to retain membership and remain in good standing.

Section 2. Membership Classification

Members of the Corporation shall belong to one of the classes of membership defined below.

a.

Individual Membership - One person who is at least 21 years of age.

b.

Joint Membership - A married couple, one of whom must be at least 21 years of age. One party to the Joint Membership shall be recorded by the Secretary of the Association as the "Primary Member". The Primary Member shall control the right to vote for the Joint Membership.

  1. All existing married members are automatically classified as joint members, except that a husband and wife who are each members in good standing shall be classified as Individual members.
  2. An Individual Membership shall convert to a Joint membership upon the request of the Individual member and approval by the Board of Directors.
  3. A Joint Membership shall convert to two Individual Memberships upon legal separation or divorce. No initiation fee shall be required. Both Individual members shall pay dues as Individual members in the year following the separation or divorce.
  4. A Joint membership may be converted to two Individual Memberships upon the request of either party to the joint membership; notice to the Board of Directors and the payment of full dues in effect in the year of the conversion.
  5. A Joint Membership shall convert to an Individual membership or a Surviving Spouse membership upon the death of either spouse.

c.

Young Adult - One person who is between the ages of 17 and 21 years of age.

Surviving Spouse - The surviving member of a Joint Membership who elects not to pay dues. The surviving spouse shall elect to continue membership as a Surviving Spouse or as an Individual member in the year following the death of their spouse or at such time as any prepaid dues are exhausted, whichever occurs first.

  1. If the surviving spouse remits payment for dues in a timely manner then the surviving member shall be deemed to have elected to be classified as an Individual member. If dues have been prepaid the surviving spouse shall be deemed an Individual member until such time as the prepaid dues are exhausted.
  2. If the surviving spouse fails to remit dues in a timely manner the surviving spouse shall be deemed to have elected to continue membership as a Surviving Spouse member.

f.

Life Member - A membership awarded to a fellow member by a majority vote of the Board of Directors. If the member is a party to a Joint Membership then Life Member status applies to both parties to the Joint Membership.

A Life member shall not be required to pay dues.

The surviving spouse of a Life Member shall elect to continue membership as a Surviving Spouse or as an Individual member in the year following the death of their spouse.

  1. If the surviving spouse remits payment for dues in a timely manner then the surviving member shall be deemed to have elected to be classified as an Individual member.
  2. If the surviving spouse fails to remit dues in a timely manner the surviving spouse shall be deemed to have elected to continue membership as a Surviving Spouse member.

Section 3. Termination of Membership

a.

Any class of membership is terminated as follows

 
  1. By written resignation of an Individual member or Primary Member of a Joint Membership addressed to either the President or the Secretary, or
  2. By failure to pay dues as prescribed in Article V, or
  3. For cause; such cause being actions that do not live up to the spirit and intent of the Articles of Incorporation and the By-Laws of this Corporation. Such termination for cause shall be by a two thirds (2/3) majority vote of the members in attendance at a special meeting called according to these By-Laws (Article VII, Sections 2 and 3)
  4. By death of a member, except that a Joint Membership shall convert to an Individual Membership or a Surviving Spouse Membership as described in Section 2.
 
  • Young Adult Membership
  • The Young Adult Membership shall automatically terminate on the last day of the year in which the Young Adult member attains the age of 21.

        1. A Young Adult member in good standing may apply for any other classification of membership at anytime during the year in which they turn 21.
        2. If the application for membership is accepted the Young Adult membership will convert to their new membership classification at the later of
          1. The day on which the member turns 21, or
          2. The day on which their application for membership is approved.

    The Young Adult membership may be terminated by a majority vote of the Board of Directors, with or without cause.

    Termination of membership shall not eliminate the possibility of reinstatement if all requirements of this article are met.

    Section 4. Responsibilities of Membership:

    a. To perpetuate the original "Pine Bend Spirit"; that spirit is one of helping youngsters and each other in the atmosphere of friendship and growth in the skills and enjoyment of living in the "out-of-doors."

    b. To promote activities and relationships that are of interest to former Scouts, and former members of similar organizations, in the service to youth and in preservation of the wilderness tradition.

    c. To help preserve the land and properties of the Association in its natural condition in keeping with the Pine Bend tradition. More specifically, those members who use the property must recognize that they are responsible for maintenance of the property which includes:

    1. Maintaining the camp sites by leaving them in equal or better condition than they were when you arrived, i.e. replacing wood burned in campfires, cleaning up the site upon leaving, etc.

    2. Helping maintain the existing buildings through regular cleaning and painting. 

    3. Helping maintain roads, wells, gates, and such other facilities on the property.

    4. Helping perform such duties as requested by the Camping Chairperson.

    5.  Observing the Camp Ground rules as posted.
